By engaging with Solten Consulting, LLC (“Solten Consulting,” “we,” “our,” or “us”), you (“Client,” “you,” or “your”) acknowledge and agree to the following disclosure terms:

1. No Guarantee of Outcome

Solten Consulting provides strategic advisory, diligence, and consulting services based on professional analysis and experience. However, we do not guarantee any specific outcome, financial return, investment result, or business success. Our insights are designed to inform your decision-making, not replace it.

2. Advisory Role Only

Our role is advisory in nature. We do not act as legal, financial, or tax advisors unless explicitly agreed upon in writing. Clients are solely responsible for all final decisions and for seeking specialized counsel where appropriate.

3. Confidentiality

Any information shared by the client during the course of an engagement is treated as confidential and will not be disclosed to third parties without prior written consent, except:

• Where required by law;

• If such information is already publicly available or independently obtained;

• To affiliated service providers under a confidentiality obligation.

4. Intellectual Property & Use of Work

All frameworks, tools, reports, and methodologies provided by Solten Consulting are proprietary and may not be reproduced, distributed, or publicly disclosed without our express written consent. These materials are licensed for your internal use only.

5. Data and Accuracy

Solten Consulting relies on the accuracy of the information provided by the client and third parties. We are not responsible for errors, omissions, or misrepresentations in client-provided data or assumptions derived therefrom.

6. Third-Party Services

At times, we may refer or integrate third-party services or tools. Solten Consulting does not control and is not responsible for the performance, compliance, or conduct of any third-party service provider.

7. Non-Reliance Clause

You agree not to rely solely on Solten Consulting’s assessments or recommendations when making high-stakes business or investment decisions. Our work is meant to complement, not replace, your own judgment, internal analysis, or external legal and financial review.

8. Limitation of Liability

To the maximum extent permitted by law, Solten Consulting shall not be liable for any indirect, incidental, or consequential damages arising from our engagement. Our total liability shall not exceed the amount paid by the client for the services in question.

9. Amendments

Solten Consulting reserves the right to update these Disclosure Terms at any time. Continued use of our services constitutes acceptance of any updates.
